Courseware License Agreement
Subject to the terms and conditions of this Agreement, the Supplier grants to you a revocable, non-exclusive license to use the training materials, which includes any and all electronic documents, videos, books, presentations, training manuals, trainer instructions, icebreakers, and any associated updates provided by the Supplier (collectively the “Licensed Materials”).
All right, title, and interest in the Licensed Materials remain the property of the Supplier. You acknowledge that you are granted only the right to use the Licensed Materials in accordance with this Agreement and do not acquire any ownership rights.
The license granted is strictly limited to training purposes within your organization or for personal use.
None of the Licensed Materials may be downloaded, reproduced, distributed, used, or resold without prior written approval signed by the Top Management of Nobles Training Center or USL Consultation & Franchise.
You must not make the Licensed Materials accessible online or offline to any unauthorized parties. Materials may only be accessed with appropriate security measures, such as username and password protection
You may not download, modify, resell, reproduce, or distribute any of the Licensed Materials in whole or in part.
This includes (but is not limited to) training materials, videos, books, presentations, files, icebreakers, training manuals, or trainer instructions.
Sharing or making the Licensed Materials available on social media platforms, open-source sites, or any third-party websites is strictly prohibited.
Under this Agreement, you may customize the Licensed Materials for internal training purposes only, such as localization or translation.
Such modifications do not grant you ownership or rights beyond those specified in this Agreement.
This Agreement remains effective until terminated by the Supplier due to violations of these terms. Upon termination, you must immediately cease using the Licensed Materials and destroy any copies in your possession.
The Supplier shall not be held liable for any direct or indirect loss or damage arising from the use or unauthorized distribution of the Licensed Materials. You agree to indemnify and hold harmless the Supplier from any claims arising from your breach of this Agreement.
This Agreement shall be governed by the laws of USA-State Of Michigan.
Any disputes arising out of this Agreement shall be resolved in the courts of the State of Michigan.
eLearning and video content are subject to the same restrictions as all Licensed Materials.
You may not make any such content available for download, redistribution, or resale without prior written approval signed by the Top Management of Nobles Training Center or USL Consultation & Franchise.
Licensed Materials must not be reproduced or shared on social media platforms or third-party websites.
If such platforms seek to exploit the Licensed Materials in conflict with this Agreement, you must immediately remove all relevant content upon the Supplier’s request.
